But the fees had all been applied the day before we got the notice.<\/p>\n<cite>Toast merchant<\/cite><\/blockquote>\n\n\n\n<p>The merchants then called Toast&#8217;s support, which regurgitated the talking points. <\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p>Part of Toast&#8217;s schtick was that we&#8217;d have lower chargebacks if we pass through their fees. I&#8217;ve had one chargeback in 14 years. This is nonsense. <\/p>\n<cite>Toast merchant<\/cite><\/blockquote>\n\n\n\n<p>Here&#8217;s a sample email chain.<\/p>\n\n\n<iframe loading=\"lazy\" class=\"scribd_iframe_embed\" src=\"https:\/\/www.scribd.com\/embeds\/647428057\/content?start_page=1&view_mode&access_key=key-97EoIRiKgu8FH6mv6qZo\"  data-auto-height=\"true\" scrolling=\"no\" id=\"scribd_647428057\" width=\"100%\" height=\"500\" frameborder=\"0\"><\/iframe>\n\t\t<div style=\"font-size:10px;text-align:center;width:100%\"><a href=\"https:\/\/www.scribd.com\/doc\/647428057\" rel=\"noopener noreferrer\" target=\"_blank\">View this document on Scribd<\/a><\/div>\n\n\n\n<p>What&#8217;s happening is that Toast tells the merchant that unless they pass through their effective surcharge fee, Toast will increase the merchant&#8217;s monthly software fee for Digital Ordering <strong>AND<\/strong> increase the card not present rates to what amount to the legal maximum limits within interchange. <\/p>\n\n\n\n<p>Nice.<\/p>\n\n\n\n<p>Some merchants <em>have<\/em> passed fees along to their customers.<\/p>\n\n\n\n<p>Will their customers notice? <\/p>\n\n\n\n<h4 class=\"wp-block-heading\">Interestingly this move is <em>highly likely<\/em> responsible for the software ARPU expansion Toast has recently reported: some meaningful number of Toast merchants have refused to fuck their customers and eaten the cost.<\/h4>\n\n\n\n<p>Here&#8217;s a table to show you our math.<\/p>\n\n\n\n<p>From Q1 2022 to Q1 2023 location count grew by 37%, GPV by 50%, and software by 70%.<\/p>\n\n\n\n<figure class=\"wp-block-image size-full\"><img data-recalc-dims=\"1\" loading=\"lazy\" decoding=\"async\" width=\"770\" height=\"168\" src=\"https:\/\/i0.wp.com\/reformingretail.com\/wp-content\/uploads\/2023\/05\/Screen-Shot-2023-05-24-at-4.06.11-PM.png?resize=770%2C168&#038;ssl=1\" alt=\"\" class=\"wp-image-14497\" srcset=\"https:\/\/i0.wp.com\/reformingretail.com\/wp-content\/uploads\/2023\/05\/Screen-Shot-2023-05-24-at-4.06.11-PM.png?w=818&amp;ssl=1 818w, https:\/\/i0.wp.com\/reformingretail.com\/wp-content\/uploads\/2023\/05\/Screen-Shot-2023-05-24-at-4.06.11-PM.png?resize=300%2C65&amp;ssl=1 300w, https:\/\/i0.wp.com\/reformingretail.com\/wp-content\/uploads\/2023\/05\/Screen-Shot-2023-05-24-at-4.06.11-PM.png?resize=768%2C167&amp;ssl=1 768w, https:\/\/i0.wp.com\/reformingretail.com\/wp-content\/uploads\/2023\/05\/Screen-Shot-2023-05-24-at-4.06.11-PM.png?resize=370%2C81&amp;ssl=1 370w, https:\/\/i0.wp.com\/reformingretail.com\/wp-content\/uploads\/2023\/05\/Screen-Shot-2023-05-24-at-4.06.11-PM.png?resize=270%2C59&amp;ssl=1 270w, https:\/\/i0.wp.com\/reformingretail.com\/wp-content\/uploads\/2023\/05\/Screen-Shot-2023-05-24-at-4.06.11-PM.png?resize=570%2C124&amp;ssl=1 570w, https:\/\/i0.wp.com\/reformingretail.com\/wp-content\/uploads\/2023\/05\/Screen-Shot-2023-05-24-at-4.06.11-PM.png?resize=740%2C161&amp;ssl=1 740w\" sizes=\"auto, (max-width: 770px) 100vw, 770px\" \/><\/figure>\n\n\n\n<p><strong>Software revenues doubled for each location added.<\/strong><\/p>\n\n\n\n<p>Seems suspiciously convenient, no?<\/p>\n\n\n\n<p>The explanation could be that Toast is selling more software per store, both for add-on modules and more terminals per store as they tap larger merchants (Toast prices per-terminal).<\/p>\n\n\n\n<p>But Toast&#8217;s hardware revenue crawled from $29M in Q1 2022 to $31M in the same quarter in 2023, and they can&#8217;t possibly have just eaten the cost as a marketing expense because hardware costs also barely mored over the same periods: from $52M to $57M.<\/p>\n\n\n\n<p><strong>In other words, we can&#8217;t explain Toast&#8217;s software increase using the assumption that Toast is selling more terminals per store.<\/strong><\/p>\n\n\n\n<p>And we are <em>super<\/em> skeptical that Toast merchants have decided to spend twice as much on POS software than they did last year.<\/p>\n\n\n\n<p>Remember, if these merchants were so keen to spend on software, Toast wouldn&#8217;t need to hide 85% of its revenue in the payments stream, where merchant&#8217;s can&#8217;t do math.<\/p>\n\n\n\n<p>In the long run, it&#8217;s important to note that whomever owns the most SMBs is going to win, because SMBs can&#8217;t do arithmetic, and they are going to get abused with payments ultimately being levered against the merchant directly, or the merchant&#8217;s customers.<\/p>\n\n\n\n<p>In Toast&#8217;s case, their SMBs will provide Toast a nice balance sheet to move upmarket and fund larger merchant acquisition.<\/p>\n\n\n\n<p>And it&#8217;s why Toast will cause problems for upmarket competitors in a few years. <\/p>\n\n\n\n<p>This deserves a separate analysis, but you cannot underestimate Toast&#8217;s ability &#8211; and clear moral void &#8211; to take price on their customers.<\/p>\n\n\n\n<p>Honestly, Toast should just add a $1,000 convenience fee to see what happens.<\/p>\n\n\n\n<p>May as well test the limits for how much John Q Public will subsidize the entire Toast business model. <\/p>\n\n\n\n<p>But borrowing a bit from the legend Jeffrey Sloan, why beat today&#8217;s quarter by a lot when you can beat <em>every<\/em> quarter by a little?<\/p>\n\n\n\n<p>That&#8217;s value, baby. <\/p>\n","protected":false},"excerpt":{"rendered":"<p>We told you so.
