This Toast “Partner” Contract Demands 30% of Revenues with Other One-Sided Clauses

Up until recently Toast has had one of the most reasonable third party partner programs of any cloud POS. Under Toast’s model, the merchant paid $20/mo for unlimited API access to third parties while the third parties paid nothing. We found some one-off situations, with some third parties paying an additional fee per site, but it was minuscule in the scheme of things.

Then came the latest Toast partner agreement. It is perhaps one of the worst “partnership” agreements we have ever seen. We don’t know if Toast wrote it in such a manner that they expected their counterpart to argue its merits and redline the document, but we’d suggest that any entity that accepts Toast’s agreement as-written has made a critical business mistake.
